“Vendor” refers to any user submitting, uploading, syncing, or distributing products, data, media, or inventory through the Platform.

 

“Content” refers to all data, product information, images, videos, descriptions, files, downloads, text, graphics, software, and media uploaded or accessed through the Platform.

 

“Services” refers to all functionality provided by the Platform including APIs, product normalization, ecommerce integrations, downloads, automations, marketplace tools, and related systems.

ALL SALES ARE GENERALLY FINAL.

 

Refunds are not guaranteed once:

– APIs have been activated;

Exceptions may be granted at our sole discretion.

– Cache;

– Reproduce;

– Use such Content in connection with the Services.

 

This license exists solely for operating and improving the Platform.

– Copyright compliance;

– Pricing;

– Taxes;

– Inventory;

– Fulfillment obligations.

– Vendor participation;

– Product visibility.

 

Any examples, projections, or estimates are illustrative only.

  1. NO UPTIME OR SERVICE LEVEL GUARANTEE

The Platform is provided on an “AS IS” and “AS AVAILABLE” basis.

 

We do not guarantee:

– Continuous uptime;

– Error-free operation;

– Uninterrupted access;

– Compatibility with all systems;

– Data preservation;

– API availability.

 

Maintenance, outages, upgrades, or failures may occur at any time.

  1. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

 

MAKERSENGINE, MAKERSVIBE, THEIR OWNERS, AFFILIATES, EMPLOYEES, CONTRACTORS, AND PARTNERS SHALL NOT BE LIABLE FOR:

– INDIRECT DAMAGES;

– CONSEQUENTIAL DAMAGES;

– LOST PROFITS;

– LOST REVENUE;

– LOST DATA;

– BUSINESS INTERRUPTION;

– LOSS OF GOODWILL;

– SECURITY INCIDENTS;

– THIRD-PARTY ACTIONS.

 

OUR MAXIMUM TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:

(A) ONE HUNDRED U.S. DOLLARS ($100); OR

(B) THE TOTAL AMOUNT PAID BY YOU TO THE PLATFORM DURING THE PRIOR THREE (3) MONTHS.

You agree to indemnify, defend, and hold harmless MakersEngine, MakersVibe, affiliates, employees, contractors, and partners from claims, damages, liabilities, losses, expenses, and legal fees arising from:

– Your products;

– Your API usage;

– Your violation of these Terms;

– Intellectual property disputes;

– Vendor disputes;

– Regulatory violations.

Fraudulent chargebacks, payment disputes, or abuse of payment systems may result in:

– Immediate account suspension;

– Permanent bans;

– Collections activity;

Upon termination:
