VENDOR TERMS

These Vendor Terms (“Vendor Terms”) govern participation by vendors, suppliers, distributors, manufacturers, wholesalers, brands, and related businesses (“Vendor,” “you,” or “your”) using MakersEngine, MakersVibe, affiliated APIs, integrations, software, websites, or related services (collectively, the “Platform”).

By registering as a Vendor, uploading product data, using Vendor APIs, or participating in the Platform, you agree to these Vendor Terms.

1. PURPOSE OF THE PLATFORM

The Platform provides tools and services designed to:

– Normalize product data;

– Distribute product catalogs;

– Facilitate ecommerce integrations;

– Connect vendors with makers, stores, creators, and ecommerce operators;

– Provide APIs, downloads, synchronization tools, and automation systems.

The Platform does not guarantee:

– Sales;

– Revenue;

– Product visibility;

– Marketplace placement;

– Ecommerce success;

– Vendor participation levels.

2. VENDOR ELIGIBILITY

By using the Platform as a Vendor, you represent and warrant that:

– You are legally authorized to conduct business;

– You possess rights to all uploaded materials;

– You have authority to distribute submitted products and content;

– Your products comply with applicable laws and regulations.

3. PRODUCT DATA RESPONSIBILITY

Vendors are solely responsible for:

– Product accuracy;

– Pricing accuracy;

– Inventory accuracy;

– Product legality;

– Product safety;

– Compliance requirements;

– Shipping details;

– Tax obligations;

– Product descriptions;

– Images, videos, and media.

The Platform is not responsible for inaccuracies in Vendor-submitted information.

4. CONTENT OWNERSHIP & LICENSE

Vendors retain ownership of submitted product data and content.

However, by uploading, syncing, or distributing content through the Platform, Vendors grant MakersEngine and MakersVibe a non-exclusive, worldwide, royalty-free license to:

– Host;

– Store;

– Normalize;

– Optimize;

– Reformat;

– Process;

– Categorize;

– Display;

– Synchronize;

– Distribute;

– Cache;

– Reproduce;

– Use submitted content in connection with Platform operations and services.

This includes use for:

– Ecommerce exports;

– Marketplace feeds;

– API responses;

– Product syndication;

– AI-assisted optimization;

– Catalog generation;

– Search indexing.

5. PRODUCT NORMALIZATION & MODIFICATION RIGHTS

The Platform may automatically or manually:

– Reformat product data;

– Normalize categories;

– Adjust metadata structures;

– Generate SEO enhancements;

– Optimize titles and descriptions;

– Modify image formatting;

– Categorize products;

– Enhance compatibility across ecommerce systems.

Vendor acknowledges and agrees that:

– Modifications may occur automatically;

– AI-assisted systems may process content;

– Outputs may contain errors or inaccuracies.

Vendors remain responsible for validating final content.

6. INTELLECTUAL PROPERTY WARRANTIES

Vendors represent and warrant that:

– Submitted content does not infringe intellectual property rights;

– They possess rights to all trademarks, logos, images, videos, and media;

– They have authority to distribute submitted products and data.

Vendors may not upload:

– Counterfeit products;

– Unauthorized branded merchandise;

– Infringing media;

– Stolen or unlawfully obtained content.

7. PROHIBITED PRODUCTS & ACTIVITIES

Vendors may not use the Platform to distribute or promote:

– Illegal products;

– Fraudulent products;

– Counterfeit goods;

– Stolen merchandise;

– Products violating intellectual property laws;

– Harmful or malicious materials;

– Restricted products prohibited by law.

The Platform reserves the right to remove products or Vendors at its discretion.

8. API ACCESS & DATA INTEGRATIONS

Vendor API access may be provided for:

– Product synchronization;

– Inventory updates;

– Automated data feeds;

– Catalog distribution;

– Ecommerce integrations.

API access is subject to:

– Rate limits;

– Security restrictions;

– Monitoring;

– Usage limitations.

We reserve the right to:

– Modify APIs;

– Suspend API access;

– Restrict integrations;

– Revoke credentials;

– Limit usage.

9. DATA ACCURACY & INVENTORY DISCLAIMER

The Platform does not guarantee:

– Real-time inventory accuracy;

– Product availability;

– Pricing consistency;

– Synchronization timing;

– Feed reliability.

Vendors are responsible for monitoring and updating their data.

10. FEES & BILLING

Certain Vendor features may require:

– Subscription fees;

– API fees;

– Integration fees;

– Premium placement fees;

– Data distribution fees.

Fees may change at any time with reasonable notice.

11. NO EXCLUSIVITY

Participation in the Platform is non-exclusive unless otherwise agreed in writing.

Vendors remain free to:

– Sell elsewhere;

– Use competing services;

– Operate independent channels.

12. VENDOR INDEMNIFICATION

Vendor agrees to indemnify, defend, and hold harmless MakersEngine, MakersVibe, affiliates, employees, contractors, and partners from claims, damages, liabilities, losses, costs, and legal expenses arising from:

– Vendor products;

– Product inaccuracies;

– Intellectual property disputes;

– Copyright claims;

– Trademark claims;

– Product liability claims;

– Regulatory violations;

– Vendor conduct;

– API misuse;

– Uploaded content.

13. NO GUARANTEE OF SALES OR RESULTS

The Platform does not guarantee:

– Product sales;

– Revenue generation;

– Store placements;

– Search rankings;

– Ecommerce success;

– Marketplace visibility;

– User engagement;

– Traffic.

Any examples or projections are illustrative only.

14. LIMITATION OF LIABILITY

To the maximum extent permitted by law, MakersEngine and MakersVibe shall not be liable for:

– Lost sales;

– Lost profits;

– Inventory errors;

– Data synchronization issues;

– API outages;

– Ecommerce platform incompatibilities;

– Third-party actions;

– Vendor disputes;

– Product-related claims.

Maximum liability shall not exceed amounts paid by Vendor to the Platform during the prior three (3) months.

15. ACCOUNT SUSPENSION & TERMINATION

We reserve the right to:

– Suspend Vendor accounts;

– Remove products;

– Disable APIs;

– Restrict integrations;

– Terminate participation;

for violations of these Terms or protection of the Platform.

16. CONFIDENTIALITY & PLATFORM PROTECTION

Vendors may not:

– Reverse engineer systems;

– Copy proprietary platform structures;

– Scrape unauthorized data;

– Abuse APIs;

– Attempt unauthorized access.

17. FORCE MAJEURE

————————————————–

We are not responsible for delays or failures caused by:

– Internet outages;

– Cyberattacks;

– Vendor system failures;

– Natural disasters;

– Third-party provider issues;

– Government actions.

18. GOVERNING LAW

These Vendor Terms are governed by the laws of the State of Florida.

19. CHANGES TO THESE TERMS

We reserve the right to modify these Vendor Terms at any time.

Continued use of the Platform constitutes acceptance of updated versions.
